1. Acceptance of Terms

By accessing or using our website, you agree to be bound by these Terms of Service. If you disagree with any part of the terms, you may not access the website.

We reserve the right to modify these terms at any time. We will notify you of any changes by posting the new Terms of Service on this page.

2. Use of Services and User Content

  • You must be at least 13 years old to use our services.
  • Customer Content and Third-Party Materials: You represent and warrant that you own or have obtained all necessary rights, licenses, releases, permissions, and consents for Collinearity to receive, store, process, modify, analyze, display, transmit, and otherwise use any content or materials you provide to or through the platform ("User Content"), including without limitation video footage, images, audio, music, sound recordings, graphics, fonts, trademarks, logos, and personal likenesses.
  • Third-Party Rights & Clearances: To the extent your User Content incorporates materials created or owned by third parties, you are solely responsible for obtaining and maintaining all necessary commercial, synchronization, master recording, performance, mechanical, and publicity clearances. You are responsible for ensuring that your use of such materials through the services does not infringe, misappropriate, or violate any third-party rights.
  • You agree not to use our services for any unlawful, infringing, or prohibited activities.

3. Account Registration

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your account information.

4. Subscription and Billing

  • Paid subscriptions will automatically renew unless canceled before the renewal date.
  • All fees are non-refundable unless otherwise stated.

5. Intellectual Property

Your Content: As between you and Collinearity, all User Content and creative outputs generated by our platform from your inputs remain your property. By using our services, you grant Collinearity a worldwide, non-exclusive, royalty-free license to host, store, process, reproduce, modify, analyze, and display your User Content solely to the extent necessary to provide, maintain, and improve our services.

Platform Materials & Third-Party Technologies: Collinearity and its licensors retain all right, title, and interest in and to the platform, including its software, interfaces, designs, proprietary algorithms, and Collinearity-owned assets. The services may incorporate or interoperate with third-party technologies, APIs, models, and creative assets (including music, fonts, templates, stock media, and similar materials) supplied by upstream providers under their respective licenses and terms. Where Collinearity makes such materials available, your use of them is subject to those upstream licenses and terms, and you remain responsible for complying with any applicable usage restrictions. For materials you upload or otherwise supply, Section 2 continues to apply.

6. AI-Generated Outputs

Certain features of the services use artificial intelligence and machine learning to analyze, modify, or generate content (including text, images, audio, video, and related creative assets) based on your inputs and User Content ("AI Outputs").

AI Outputs may be imperfect, incomplete, non-unique, or similar to content generated for other users or available elsewhere. You are solely responsible for reviewing, editing, and approving any AI Outputs before you publish, distribute, or otherwise use them.

You remain responsible for ensuring that your inputs, User Content, and any published or distributed AI Outputs do not infringe or violate any third-party rights, including intellectual property, privacy, and publicity rights. Collinearity does not warrant that AI Outputs will be free from third-party claims or suitable for any particular commercial use.

7. Third-Party Services and APIs

Our platform integrates with various third-party services and APIs to provide enhanced functionality. By using our services, you acknowledge and agree to be bound by the terms of service of these third-party providers.

We may add additional third-party integrations in the future. When we do, we will update this section to include the relevant terms and notify users of any changes that may affect their use of our services.

YouTube API Services

Our platform uses YouTube API Services to provide video-related functionality. By using features that interact with YouTube content, you agree to be bound by the YouTube Terms of Service.

YouTube's privacy policy, available at Google Privacy Policy, also applies to your use of YouTube-related features on our platform.

8. Termination

We reserve the right to suspend or terminate your access to our services if you violate these terms.

9. Indemnification

You agree to defend, indemnify, and hold harmless Collinearity.ai, its affiliates, licensors, and service providers, and its and their respective officers, directors, employees, contractors, agents, and successors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your User Content or any materials you upload, provide, or process through the platform; (b) any claim or allegation that your User Content infringes, misappropriates, or violates any copyright, trademark, patent, trade secret, privacy right, right of publicity, or other proprietary or intellectual property right of any third party; or (c) your violation of these Terms of Service.

10. Copyright Infringement & DMCA Policy

Collinearity respects the intellectual property rights of others and expects its users to do the same. In accordance with applicable copyright laws, including the Digital Millennium Copyright Act (DMCA), we maintain a policy of responding to notices of alleged copyright infringement and terminating the accounts of repeat infringers where appropriate.

If you believe that any content hosted or processed on our platform infringes your copyright, please send a written notification to our designated agent at contact@collinearity.ai with the subject line "Copyright Infringement Notice", identifying the copyrighted work claimed to have been infringed and the location of the allegedly infringing material on our services.

11. Disclaimer of Warranties

The services are provided on an "as is" and "as available" basis, without warranties of any kind, whether express, implied, or statutory, including without limitation any warranties of merchantability, fitness for a particular purpose, title, non-infringement, accuracy, or uninterrupted or error-free operation. Collinearity does not warrant that the services, including any AI Outputs or analyses, will meet your requirements or that any content processed or generated through the services will be free from defects or third-party claims.

12. Limitation of Liability

Collinearity.ai isn't liable for any indirect, incidental, or consequential damages arising from your use of our services.

13. Governing Law

These terms are governed by the laws of Delaware.
